1. Acceptance of Terms

These Terms of Service ("Terms") are between you and Psyrin Inc ("Psyrin," "we," or "us"). These Terms govern your access to and use of our AI assistant Mira and other services ("Services") offered through https://psyrin.ai/ or made available to you through our healthcare partners.

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

Important Note: These Terms apply only to Psyrin's services. Your use of healthcare partners' platforms, services, or facilities is governed by their separate terms and conditions. Psyrin is not responsible for, and these Terms do not cover, any services, policies, or practices of the healthcare providers who utilize our Services.

2. Service Description

2.1 Psyrin AI Assistants

Psyrin provides Mira, an AI-powered assistant that helps mental healthcare providers deliver more efficient and effective care. Mira may:

• Conduct preliminary mental health assessments
• Help schedule or reschedule appointments
• Assist with administrative tasks
• Collect information asynchronously to improve clinical capacity
• Standardize quality of assessments
• Generate documentation

Psyrin will continue to develop and offer other AI bots and services beyond Mira. If any material terms of use change due to the introduction of a new AI bot, technology, or service, these Terms will be updated accordingly, and users will be notified of such changes.

2.2 NOT A SUBSTITUTE FOR PROFESSIONAL CARE

IMPORTANT: Mira is not a replacement for professional medical care, diagnosis, or treatment. The Services are designed to support healthcare providers in delivering care, not to replace them. Always consult with qualified healthcare professionals for medical advice, diagnosis, and treatment.

2.3 Scheduling Disclaimer

While Mira assists with scheduling, administrative tasks, transcription, and documentation, Psyrin is not liable for any scheduling errors, misunderstandings, missed appointments, scheduling conflicts, transcription inaccuracies, or documentation errors that may occur when using the Services. Users are responsible for confirming all appointments and scheduling arrangements directly with their healthcare provider. Healthcare providers remain solely responsible for their appointment management systems and practices. Additionally, healthcare providers are solely responsible for reviewing, editing, and approving all clinical documentation generated through or with the assistance of the Services before incorporating such documentation into official medical records.

2.4 No Medical Advice; Not for Emergencies

Psyrin does not offer medical advice or diagnoses, or engage in the practice of medicine. Our Services are not intended to be a substitute for professional medical advice, diagnosis, or treatment and are offered for informational and communicative purposes only. The Services are not intended to be, and must not be taken to be, the practice of medicine, nursing, pharmacy or other healthcare advice by Psyrin.

The Services are not meant to diagnose or treat any conditions – only your medical professional can determine the right course of treatment for you and determine what is safe, appropriate and effective based on your needs. Reliance on any information provided by Psyrin or in connection with the Services is solely at your own risk. You are solely responsible for any decisions or actions you take based on the information and materials available through the Services.

You acknowledge that the provision of such Content does not create a medical professional/patient relationship between you and Psyrin or between you and any other individual or entity, and does not constitute an opinion, medical advice, or diagnosis or treatment. Healthcare providers and patients should always obtain applicable diagnostic information from appropriate trusted sources. Healthcare providers should never withhold professional medical advice or delay in providing it because of something they have read in connection with our Services.

THE SERVICES SHOULD NEVER BE USED AS A SUBSTITUTE FOR EMERGENCY CARE. IF YOU HAVE A MEDICAL OR MENTAL HEALTH EMERGENCY, ARE THINKING ABOUT SUICIDE OR TAKING ACTIONS THAT MAY CAUSE HARM TO YOU OR TO OTHERS, YOU SHOULD SEEK EMERGENCY TREATMENT AT THE NEAREST EMERGENCY ROOM OR DIAL 911.

3. Eligibility and User Requirements

3.1 Access Through Healthcare Providers

Most individuals will access our Services through our healthcare partners. Your relationship with your healthcare provider is governed by their separate terms, policies, and agreements. These Terms only cover your interaction with our Services.

Your healthcare provider may have additional requirements, limitations, or terms regarding your use of our Services. Psyrin is not responsible for the terms, policies, or practices of the healthcare providers who utilize our Services.

3.2 Compliance With Laws

You agree to use our Services in compliance with all applicable laws and regulations, including healthcare privacy laws in your jurisdiction.

4. Data Security

We implement appropriate technical and organizational measures to protect information processed through our Services. However, no method of transmission over the internet or electronic storage is 100% secure. While we strive to use commercially acceptable means to protect information, we cannot guarantee absolute security.

Information processed through our Services may be subject to healthcare privacy laws in the relevant jurisdiction. We comply with all applicable laws in each jurisdiction where we operate.

5. AI Technology and Data Usage

5.1 Biomarker Data and AI Training

Our AI technology performs the services described in these Terms and will continue to grow based on information provided through the Services. By using the Services, you acknowledge that another AI bot may be used to train our systems and that biomarker data and other information may be utilized to improve our Services over time.

5.2 License to Use Data

You grant Psyrin a non-exclusive, perpetual, irrevocable, transferable, worldwide license to exercise, practice, make, use, reproduce, modify, create derivative works of and otherwise exploit any data you provide through the Services, including all intellectual property rights related thereto, in connection with:

• Providing, maintaining, and improving the Services
• The development and commercialization of models, algorithms, tools, and related artificial intelligence products
• Training artificial intelligence models using biomarker data and other information

5.3 Aggregated De-Identified Data

You acknowledge and agree that Psyrin may freely use, retain and make available Aggregated De-Identified Data for Psyrin business purposes (including without limitation, for purposes of improving, testing, artificial intelligence model training, operating, promoting and marketing Psyrin's products and services). "Aggregated De-Identified Data" means data submitted to, collected by, or generated by Psyrin in connection with your use of the Service, but only in aggregate, de-identified form.

5.4 Health Insurance Portability & Accountability Act

Some professionals you may interact with in connection with our Services qualify as "health care providers" under the Health Insurance Portability & Accountability Act ("Health Care Providers" and "HIPAA", respectively). Such Health Care Providers may require you to review and acknowledge their specific HIPAA Notice of Privacy Practices; any such terms are between you and such Health Care Provider. We encourage you to review our Privacy Policy, which provides additional information on how Psyrin may use your Personal Data (as defined in the Privacy Policy) and any communications between you and such Health Care Provider.

6. User Responsibilities

6.1 Accurate Information

You agree to provide accurate, current, and complete information when using our Services. Providing false or misleading information may compromise the quality of care and could create safety risks.

6.2 Prohibited Activities

You agree not to:

• Use the Services in any way that could disable, overburden, or impair the Services
• Attempt to gain unauthorized access to the Services or related systems
• Use the Services for any unlawful purpose or in violation of these Terms
• Interfere with other users' use of the Services
• Upload or transmit viruses or other malicious code
• Attempt to reverse engineer or extract the source code of our Services
• Use the Services to harass, abuse, or harm another person or to impersonate another user

7. Intellectual Property Rights

7.1 Psyrin's Intellectual Property

The Services, including all content, features, and functionality, are owned by Psyrin, its licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws.

7.2 Trademarks

"Psyrin," "Mira," and related logos are or may be in the process of becoming trademarks of Psyrin. You may not use these marks without our prior written permission.

7.3 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for their intended purposes.

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WITHOUT LIMITING THE FOREGOING, PSYRIN EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PSYRIN, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

THIS LIMITATION OF LIABILITY INCLUDES, BUT IS NOT LIMITED TO:

• PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS
• LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS
• LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA
• MISSED APPOINTMENTS, SCHEDULING ERRORS, OR ADMINISTRATIVE MISTAKES
• MISUNDERSTANDINGS IN COMMUNICATIONS WITH MIRA
• ANY OTHER DAMAGES, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

PSYRIN SPECIFICALLY DISCLAIMS ANY LIABILITY FOR SCHEDULING OR ADMINISTRATIVE ERRORS THAT MAY OCCUR THROUGH YOUR INTERACTION WITH MIRA. USERS SHOULD ALWAYS VERIFY SCHEDULING AND IMPORTANT INFORMATION DIRECTLY WITH THEIR HEALTHCARE PROVIDER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Psyrin, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

11. Dispute Resolution

11.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

11.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

11.3 Waiver of Class Actions

You agree to resolve any disputes on an individual basis and waive any right to bring claims as a plaintiff or class member in any purported class or representative proceeding.

11.4 Time Limitation

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED. THIS LIMITATION DOES NOT APPLY TO CLAIMS SUBJECT TO DIFFERENT STATUTORY LIMITATIONS UNDER APPLICABLE LAW, INCLUDING BUT NOT LIMITED TO HEALTHCARE PRIVACY CLAIMS WHICH MAY BE SUBJECT TO DIFFERENT LIMITATION PERIODS IN ACCORDANCE WITH APPLICABLE LAW IN THE RELEVANT JURISDICTION.

12. Changes to Terms

We may revise these Terms at any time by posting the updated Terms on our website or providing them through our Services. Your continued use of the Services after any changes to the Terms constitutes your acceptance of the revised Terms.

13. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

14. Miscellaneous

14.1 Entire Agreement

These Terms constitute the entire agreement between you and Psyrin regarding the Services and supersede all prior agreements and understandings.

14.2 Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

14.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction.
